B2B Terms of Service

1. About these Terms
These Terms govern access to and use of DelegateNow at https://delegatenow.co.uk. DelegateNow is a trading name of Bernat Perelló, a sole trader established at 51 Shakespeare Avenue, Bristol, BS7 0ER, United Kingdom (“DelegateNow”, “we”, “us” or “our”). Contact: hello@delegatenow.co.uk.
By creating an account, saving an assessment, accessing gated content or otherwise using the service, the user and the business on whose behalf the user acts agree to these Terms. If the user does not agree, they must not use the service.
2. Business-only service
DelegateNow is provided only to persons acting wholly or mainly for purposes relating to their trade, business, craft or profession. It is not offered for personal, family or household use. The user confirms that they are at least 18, are acting for business purposes and have authority to bind the relevant business. Consumer purchasing and consumer contracts are not supported at launch.
3. Paid services and purchasing
The assessment and account creation are free. The Founding DIY Action Plan is a one-off purchase of £49 (GBP). It unlocks the three priority opportunities identified by your completed assessment (frozen at the time of purchase), the step-by-step implementation guides for those three opportunities, the Learning Hub content associated with them and your 90-day action plan. It is a single payment, not a subscription, and it does not renew.
Each purchase also issues a £49 implementation credit, valid for 90 days from the date of payment, which may be applied against separately scoped implementation or support work agreed with DelegateNow. The credit has no cash value, cannot be exchanged for money, cannot be transferred and expires automatically at the end of the 90-day period. If a purchase is refunded, any credit issued from it is cancelled.
Payments are processed by Stripe Payments Europe, Ltd. and its affiliates. DelegateNow does not receive or store full card details. Prices are shown in pounds sterling and are the total amount payable; DelegateNow is not VAT registered, so no VAT is charged and no VAT invoice is issued.
Because access to the purchased digital content is provided immediately on payment, the purchase is treated as fully performed at that point. If the content is not delivered, is materially defective or is charged in error, contact hello@delegatenow.co.uk within 14 days of payment and a refund of the £49 will be issued to the original payment method. Refunds are ordinarily processed within 14 days of being agreed. Statutory rights that cannot be excluded are unaffected.
Separately scoped implementation or support work is not covered by these purchasing terms: no paid contract for that work is formed unless the parties expressly agree separate written terms, scope, price and payment arrangements.
4. Accounts
- The user must provide accurate account information and keep it current.
- Credentials must be kept confidential and must not be shared except through an authorised business account feature.
- The user is responsible for activity carried out through the account unless caused by DelegateNow’s breach of duty.
- Suspected unauthorised access must be reported promptly to hello@delegatenow.co.uk.
- We may require verification, reset credentials or suspend access where reasonably necessary to protect the service or its users.
5. The service and recommendations
DelegateNow provides structured business assessments, scores, operational recommendations, ranked opportunities, action plans, educational material and access to implementation support. Results depend on the information supplied by the user and may not be complete or suitable for every business.
DelegateNow does not provide legal, tax, accounting, regulated financial, employment, health and safety or other regulated professional advice. Users must exercise their own judgment and obtain appropriately qualified advice where a decision requires it. The user remains responsible for business decisions, legal compliance, tool selection, implementation, backups and outcomes.
6. Acceptable use
Users must not:
- use the service unlawfully, fraudulently or to harm another person;
- submit information they have no right or lawful basis to provide, including confidential client information or unnecessary special-category data;
- attempt to bypass authentication, entitlements, rate limits, access controls or gated-content restrictions;
- probe, scan, disrupt, overload, reverse engineer or introduce malware into the service, except to the extent a restriction is prohibited by law;
- scrape, systematically download, republish, sell, sublicense or create a competing database from DelegateNow content;
- copy or share gated guides, Learning Hub curation or account-only materials outside the authorised business’s internal use;
- impersonate another person, misrepresent authority or infringe intellectual-property, privacy or other rights.
7. User information and responsibility
The business is responsible for the accuracy and lawfulness of information submitted through its users. It must avoid entering personal information about employees, customers or other third parties unless necessary, lawful and appropriately disclosed to those individuals. DelegateNow may remove content or restrict processing where reasonably necessary to comply with law, protect security or enforce these Terms.
8. Intellectual property and licence
DelegateNow and its licensors own the service, software, branding, assessment structure, scoring presentation, recommendations, guides, curation, text, graphics and other content, excluding user- provided information and third-party materials. All rights not expressly granted are reserved.
While the account is permitted to use the service, DelegateNow grants the business a limited, non- exclusive, non-transferable, revocable licence to access and use the service and download or internally use its own results and available materials for that business’s internal operations. This licence does not permit resale, public distribution, publication, training competing systems, removal of rights notices or exploitation of the underlying content library.
9. External resources
The service may link to or, with the required consent, display content from third parties such as YouTube. DelegateNow does not control third-party availability, content, security or terms and does not endorse every statement made in an external resource. Users access third-party services at their own discretion and should review their terms and privacy notices.
10. Availability and changes
We aim to provide a useful and secure service but do not guarantee uninterrupted, error-free or permanently available access. We may maintain, update, improve, restrict or withdraw free features where reasonably necessary. We will avoid materially prejudicing active users without reasonable notice where practicable, but urgent security, legal or provider issues may require immediate action.
11. Suspension and termination
A user may stop using the service and request account deletion at any time. We may suspend or terminate access where the user materially breaches these Terms, threatens security, infringes rights, uses the service unlawfully, or where suspension is reasonably necessary for legal or operational reasons.
Where appropriate, we will give notice and a reasonable opportunity to remedy the breach.
On termination, the right to access the service ends. Clauses intended to continue, including intellectual property, disclaimers, liability, governing law and accrued rights, remain effective. Personal information is handled under the Privacy Notice and applicable law.
12. Disclaimers
To the maximum extent permitted by law, the free service and its content are provided on an “as available” basis. We do not warrant that recommendations will produce a particular saving, revenue increase, compliance result or business outcome, or that external resources will remain accurate or available.
Nothing in these Terms excludes obligations that cannot lawfully be excluded.
13. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Subject to the previous paragraph, DelegateNow is not liable for indirect or consequential loss, loss of profit, revenue, business, contracts, goodwill, anticipated savings or data, or for losses caused by reliance on incomplete or inaccurate user information, third-party services, or implementation decisions outside our control.
Subject to the first paragraph of this clause, DelegateNow’s total aggregate liability arising from or connected with the free service during any 12-month period is limited to £100. The parties acknowledge that the service is free and that this allocation of risk is reasonable for a business-only launch. This clause applies only to the extent permitted by law and subject to the reasonableness requirements applicable to business contract terms.
14. Privacy and storage technologies
Our Privacy Notice explains how we process personal information. Our Cookie Information page explains cookies, local storage and similar technologies. Users must not use the service to upload personal information unlawfully.
15. General
- No partnership or agency: these Terms do not create a partnership, joint venture, employment or agency relationship.
- Assignment: the user may not transfer these Terms without our written agreement. We may transfer the business or service with appropriate protection for users and personal information.
- Severability: if a provision is unenforceable, the remaining provisions continue.
- No waiver: delay in enforcing a right does not waive it.
- Entire agreement: these Terms and documents expressly incorporated into them form the agreement for the current free service.
- Third-party rights: no person other than the parties has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
16. Governing law and courts
These Terms and any non-contractual dispute are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
